As mentioned in our article about Legal Entity Requirements and Tax Filing, Fractured Atlas's fiscal sponsorship program is structured as a Pre-Approved Grant Relationship and we require a U.S. tax-paying legal entity to be on file for every fiscal sponsorship. The legal signatory of the entity needs to sign the fiscal sponsorship agreement.
What’s a signatory?
The signatory is an individual who is able to sign contracts on behalf of a legal entity. For example, the authorized signatory could be you if the legal entity on file is your name and social security number, it could also be your collaborator if the legal entity on file is an LLC owned by them, or it could be your organization's board member if the legal entity on file is a corporation. Unsure who your signatory is, ask yourself "Who is authorized to sign a contract on behalf of the legal entity I've listed here?"
The type of legal entity and TIN (Tax ID Number) you intend to use when filing taxes will determine if you include your Social Security Number (SSN) or an Employer Identification Number (EIN). If you aren’t sure which TIN you can and should use, please read About Legal Entities.
In all cases when filling out the fiscal sponsorship application:
- In the Tax Information section, click “The responsible entity is a(n)” drop-down
- Select the legal entity you intend to make responsible for your fiscal sponsorship
For legal entities using a Social Security Number (SSN) Fill out the name and the SSN fields. You can add the DBA associated with your SSN (if there is one) by checking the box “I set up my Individual/Sole Proprietorship with an alternate name” and then continue to fill out the application.
For legal entities using an Employer Identification Number (EIN) Add the name of the legal entity and the person who can legally sign on behalf of the entity.
If you are not the legal signatory of the entity, please put the correct person’s name in the “Name of Signatory” line and continue completing the application.
Once you have gotten to the “Review” page of the application Please ensure all the information is accurate and select your desired application processing speed.
Under the Agreement section, you will need to clarify if you are the legal signatory OR if the responsible individual is someone else.
If you are the authorized signatory, simply select “I AGREE” and proceed in submitting the application.
If someone else is the authorized signatory, select “I AM NOT” and click the “ASSIGN SIGNATORY” button.
Since we need the authorized signatory to sign the fiscal sponsorship agreement, you need to add their name and contact information. Once completed, click “SEND EMAIL.”
An invitation to sign the fiscal sponsorship agreement will be emailed to the signatory! Once they have signed the agreement and clicked “SUBMIT”, the application will be sent to Fractured Atlas for review and approval. Check out the article, Legal Signatory if your signatory needs some guidance!
Things to keep in mind:
- For applicants who are not the legal signatory - your application will not move forward in the review process until the signatory signs and submits the agreement.
- Although the legal entity will submit the application, they will NOT have access to your account or the fiscal sponsorship moving forward. If you would like to add them as a sub-user, please see this article: Authorized Users.
